Terms of Service
1. Definitions
User is the person who uses the service as Landlord or Tenant, either on their own behalf or as a representative of a company or organisation.
Landlord means individuals, companies, or other organisations that market and rent out office spaces, office rooms, or office premises via Shace.
Tenant means individuals, companies, or other organisations that, through Shace's mediation, wish to rent and/or rent one or more office spaces, office rooms, or office premises from a Landlord.
Shace means Shace AB.
2. Application of these general terms of use
These general terms of use, together with any other applicable terms, constitute an agreement between the User and Shace. These terms of use apply to all use of Shace services and apply to all Users.
When you create an account or submit a booking request (or otherwise use booking-related features), you confirm that you have read and understood these general terms of use and agree to be bound by them. If you do not accept these general terms of use, you may not use the service.
If the User uses the service on behalf of a company or organisation that is a Landlord or Tenant, these general terms of use apply to such company or other legal entity in addition to the User. In such cases, the User guarantees that the User has the right to legally bind the company or organisation to these general terms of use.
3. Terms for use of the service
As a User, you understand and accept that you are responsible for complying with all laws, regulations, and tax obligations that apply to the use of Shace services. You may only use Shace services in accordance with these general terms of use and other applicable terms. In connection with your use of the service and associated content, you accept that you will not:
- use the service for purposes other than those intended, for example for competing activities, brokerage, or other purposes not expressly permitted under our terms;
- provide incorrect information in connection with a booking request or otherwise provide false or incorrect information when using Shace services;
- copy, store, or otherwise gain access to information on Shace's site for purposes not expressly permitted under our terms;
- use email and chat functions for unsolicited commercial email ("spam") or advertising unrelated to the rental of workplaces or premises for work;
- systematically retrieve data or other content from the service to create or compile a database, directory, or similar, regardless of the purpose;
- contact landlords through Shace services if you are a broker with commission-based assignments or other assignments for lessors and/or landlords and transfers.
Shace has the right to temporarily or permanently suspend the User from the service without further explanation. Examples of what may constitute grounds for suspension include breach of any of the contractual terms in our terms of use or repeated failure to respond in communication with Shace or between tenant and landlord.
4. About the service
Shace provides a mediation service for the rental and booking of available premises. The service is based on information in the form of text and images about the Landlord's properties, meeting rooms, conference facilities, and office spaces. Users act through accounts tied to organisations (Landlords and Tenants) as applicable.
Tenants discover listings, send booking requests, and communicate with Landlords through the platform, including in-app chat. Landlord and Tenant enter into a direct agreement with each other regarding rental mediated through the Shace platform. Shace provides a mediation and technical platform. Shace is not a landlord and is not a party to the agreement between Landlord and Tenant.
Tenants and Landlords via the Shace platform are responsible for the material displayed as well as prices and the availability of the property. It is not permitted to link to or refer to external websites in the listing text or in other user-generated content on the Shace website.
Shace has a policy of always reviewing all material published on the site. Shace reserves the right to reject material and/or change information published in the service.
Shace does not provide any protection for property or premises against loss or damage due to theft or vandalism caused by the Tenant. Each host and tenant is responsible for their own insurance needs.
5. Advertising in the service
All advertising in the service must comply with these specific host terms, the general terms of use, and other applicable laws, regulations, and terms. The Landlord shall in particular fulfil the following:
- The Landlord undertakes to offer Tenants who have contacted the Landlord via the service to rent at the price advertised via the service.
- The Landlord may not use misleading price information, or submit any listing with a price at which the Landlord does not intend to rent out the property.
- The Landlord guarantees that the premises in question correspond to the specifications and standard stated in the listing's images and text and as may otherwise be expected of the premises.
- The Landlord is responsible for ensuring that information on prices, content, and availability is up to date and relevant based on the advertised offer.
- The Landlord may not list the same premises or workplace for rent in multiple listings in the service.
- The Landlord shall ensure that listings are kept up to date and relevant and remove listings that are no longer current.
- The Landlord shall ensure that office solutions that have been rented out are no longer available via the service.
- The Landlord undertakes to notify Shace of any changes to the advertised property's design, price, content, and availability.
6. Review and control of listings
Shace reserves the right to review all listings and to reject or remove a listing on the grounds that it violates Shace's general terms of use, third-party copyright, other legal regulations, or Shace's principles and guidelines. Shace reserves the right to remove or amend listing text if the text violates Shace's terms.
Random or report-initiated checks are carried out on an ongoing basis, for example to verify a user's identity. Anyone who chooses not to participate in such a check risks being suspended from using the service.
7. Distribution of listings
Shace has the right to distribute the Landlord's listing, or parts of the Landlord's listing, in its own and third-party marketing channels to maximise the listing's reach, to market the premises, the service, and/or Shace. This right applies even after the contractual relationship between the Landlord and Shace has ended. Examples of marketing through third parties include, but are not limited to, distribution via Shace accounts on Facebook, Instagram, and LinkedIn, as well as via Google.
Shace has the right to use the Landlord's trademark, company name, logo, and other intellectual property rights in the service and in other digital and analogue channels, including those provided by third parties, for the purpose of marketing the Landlord and its listings. Shace also has the right to inform about the collaboration with the Landlord on its website, in newsletters, or in other ways.
Distribution of the Landlord's listing in accordance with this clause cannot give rise to any right to compensation for the Landlord.
8. Landlord's agreement with the tenant
The Landlord undertakes to provide a correct agreement for the rental of the office space that the Landlord advertises.
The Landlord enters into an agreement with the Tenant when a property is mediated through the Shace platform. Agreements may be signed electronically through the signing functionality offered through the platform. Shace acts only as a facilitator of such signing and does not draft or guarantee the legal content of the agreement. Shace is not a party to the agreement between Landlord and Tenant, and cannot be held liable for anything in the tenancy that arises between the Tenant and the Landlord.
9. Payment model and invoicing
When a rental is mediated through Shace, Shace charges the Tenant a service fee for use of the platform. Rent is owed by the Tenant to the Landlord. Shace is not the recipient of rent; Shace receives the service fee from the Tenant.
The service fee is calculated as a percentage of the rent for each applicable billing period (for example per day for daily rentals and per month for monthly rentals). The percentage depends on the total length of the agreed rental period: up to 7 rental days — 20%; 8–30 days — 15%; 31–180 days — 10%; more than 180 days or an indefinite rental — 7%. The fee that applies to a given booking is always shown in the service before the Tenant confirms; Shace may update these rates for future bookings.
Payments and payouts are handled through Stripe, including where Stripe Connect is used so that Landlords can receive rent. Use of payment services is also subject to Stripe's applicable terms and to the payment options presented at checkout (for example card payment or invoice where offered). Landlords who wish to receive payouts must complete the onboarding required in the service.
Shace may issue invoices to the Tenant for the service fee and facilitate invoicing relating to rent as set out in the service. Payment terms and due dates appear on the relevant invoice or in the service. For amounts owed to Shace, late payment may incur interest in accordance with the Swedish Interest Act (räntelagen).
Listings and checkout state whether amounts are shown inclusive or exclusive of VAT where relevant. Taxes and charges follow applicable law and what is stated on each invoice or in the service.
10. Intellectual property rights
When the User creates a user profile, the User receives a right to use the service in accordance with these terms of use.
All copyright, trademarks, and other intellectual property rights (registered and unregistered) in the service belong to Shace and/or third parties. Nothing in these terms of use gives the User any right or licence to use any copyright, trademark, or other intellectual property right owned or controlled by Shace. The User receives only the limited right to use the service as specifically set out in these terms of use.
The User may not copy, transfer to third parties, modify, or further develop any part of the service and its content. The User may not develop competing solutions with the service, decompile, or perform reverse engineering on the service, or otherwise attempt to recreate the source code.
The User may not use Shace's trademark or other signs owned by Shace without Shace's prior written consent.
11. Limitation of liability and warranties
The service is provided as is without warranties of any kind, and use of the service is the User's responsibility. Shace does not guarantee continuous, uninterrupted, or secure access to the service or that all information is always correct and complete, and cannot be held liable for any errors that may arise as a result of, for example, typographical errors, technical interruptions, or missing information. Shace cannot be held liable for any damage caused by Landlords, Tenants, Users, or third parties. Shace cannot be held liable for damage caused by use of the service and its content, for example damage resulting from missing or delayed responses to booking confirmations or incorrect information in meeting confirmations.
Except for damage caused by Shace's gross negligence or intentional conduct, Shace is not liable to the User or any third party for any indirect damage, including but not limited to lost profit, loss of income, reduced turnover, lost contracts, loss of data, goodwill damage, or consequential damage of any kind, arising from or in connection with Shace's provision of the service and the Landlord's use of the service or inability to use the service.
The User and Shace agree that Shace's total liability to the User shall be limited to a maximum of five hundred (500) kronor per year.
12. Processing of personal data
Shace collects and processes personal data for the purpose of creating a user profile for the User and providing the service. Shace will only collect and process personal data in accordance with the General Data Protection Regulation (EU 2016/679), also known as the GDPR. When Shace transfers personal data to a Landlord, the Landlord becomes the data controller for its own processing of the Tenant's personal data.
13. Termination of the service and changes to terms of use
Shace has the right to change these terms of use. Shace will inform you of such changes that materially affect your rights and obligations under these terms of use no later than thirty (30) days before a change takes effect. Shace will provide such information on our website, in the service, or by email to the email address you have provided.
You have the right to terminate your user profile in the service at any time and without prior notice. You can close your user profile and delete all personal data relating to your account directly in the service.
Shace has the right at any time to change, revise, or cease to provide the service, without this entailing any liability for Shace. Shace also has the right to terminate the agreement with the User immediately or to suspend the User from further use of the service.
14. Applicable law and disputes
These terms of use shall be governed by and construed in accordance with Swedish law, without regard to its conflict of law provisions.
Any dispute or claim arising out of or in connection with these terms of use, or in the event of breach, termination, or invalidity of these, shall be finally settled by a Swedish court with Stockholm District Court as the court of first instance, unless otherwise required by mandatory law.
